SpaceX and Tesla CEO Elon Musk filed a motion on Friday (July 15) to oppose Twitter's request to fast-track a trial. Twitter sued Musk for breaching the $44 billion contract he had signed to buy the tech firm. Twitter has asked a Delaware court to order Musk to complete the merger at the agreed $54.20 per Twitter share.

In the latest development, Musk's lawyers have said that the trial should be rejected in Twitter's "unjustifiable request" to rush the merger case to trial in two months, the papers filed with the Delaware Chancery Court showed.

The Twitter deal, which was once appearing to be a historic business deal, is now expected to be a major legal showdown between Twitter and Musk.

Musk's filing said: "Twitter's sudden request for warp speed after two months of foot-dragging and obfuscation is its latest tactic to shroud the truth about spam accounts long enough to railroad defendants into closing."

The San Francisco-based company argued that no financial damages could repair the damage he has caused after Musk said he would not complete the deal. Recently, Twitter attorneys in a letter told Musk's lawyers that the micro-blogging site has breached none of its obligations under the agreement.

All of this started when Musk sent a letter to Twitter saying he was pulling out of the controversial deal he made in April to buy the platform for $54.20 per share, or $44 billion in total.

'Tactic to shroud the truth': Elon Musk seeks to delay the start of Twitter court battle

Elon Musk’s father, Errol, has revealed that he had his secret love child with his stepdaughter, Jana Bezuidenhout. In an interview to The Sun, the 76-year-old said that he fathered a daughter with 35-year-old Bezuidenhout in 2019.

“The only thing we are on Earth for is to reproduce,” he was quoted as saying. Notably, Elon Musk, who recently welcomed twins with an executive working in Neuralink, shares the same idea.

The couple already has a son named Elliot Rush, who is now 5 years old.

Errol further revealed that they never planned to have another kid and that he doesn’t live with Bezuidenhout anymore, citing 41 years age difference. He said that both had lived together only for 18 months after the birth of their first child.

“It’s not practical. She’s 35…Eventually, if I’m still around, she might wind up back with me,” the 76-year-old was quoted as saying.

“Any man who marries a [younger] woman, even if you feel very sprightly, it’s going to be nice for a while, but there’s a big gap … and that gap is going to show itself,” he added.

Errol, who is a wealthy South African engineer, first got married in 1970 to model Maye Haldeman Musk. Both share three children—Elon, Kimbal and Tosca.

After they split, in 1979, Errol married Bezuidenhout's mother, Heide, who already had two kids. Bezuidenhout was only 4-year-old when Errol became her stepfather.

Both were together for 18 years. They share two children.

But the Musk family was stunned after it was revealed that Errol impregnated Jana in 2017, leading to a bitter fallout with his other children, including Tesla CEO Elon.

“They still don’t like it…They still feel a bit creepy about it, because she is their sister. Their half-sister,” Errol told The Sun.

And Errol still hasn’t given up the idea of having more children in the future. “If I could have another child, I would. I can’t see any reason not to.”

With the lawsuit between social media giant Twitter and billionaire Elon Musk heating up, experts believe that the technology that can act as deciding factor in the battle is bots.

Twitter sued Tesla CEO Elon Musk after he backed away from his $44 billion offer to buy the company.

Musk, who is the world's richest man, said he was provided a fake tally of fake or spam accounts.

Bots, which are ubiquitous and often unloved technology, could prove to be a vital factor in the lawsuit as per analysts.

With the aim of emulating how people behave, bots are software programs that do automated tasks online.

While Twitter has claimed that bots are less than five percent of users on its platform, Musk believes that the platform made "false and misleading representations" about bots.

Due to the determination of the tally in part by Twitter's internal definitions and the workers who apply the rules, ascertaining the number of bots on the site is a bit of an art.

The legal fight between social media giant Twitter and Tesla CEO Elon Musk has taken an interesting turn. Both are in a legal fight over the acquisition of Twitter. Now, as per report by Fox Business, Twitter has used a poop emoji posted by Elon Musk as an evidence against him in the lawsuit. Twitter alleges in its lawsuit that Musk tried to disparage him. The poop emoji in question was posted by Elon Musk as a reply to Twitter CEO Parag Agrawal's tweet on May 16.

“We suspend over half a million spam accounts every day, usually before any of you even see them on Twitter. We also lock millions of accounts each week that we suspect may be spam – if they can’t pass human verification challenges (captchas, phone verification, etc),” he tweeted.

"The hard challenge is that many accounts which look fake superficially – are actually real people. And some of the spam accounts which are actually the most dangerous – and cause the most harm to our users – can look totally legitimate on the surface," he added.

Musk had reacted with poop emoji.

From buying Twitter to walking away – Elon Musk’s Twitter deal timeline | Tech in Trend

Tesla CEO and billionaire Elon Musk and former US president Donald Trump are now trading jibes, the former on the social media platform he earlier was to buy. In a back-and-forth, both influential men have taken potshots at each other.

It was Trump who fired the first expletive-laden salvo and called Musk "another bull s*** artist". He was speaking at a rally. During his address he also claimed that Musk voted for him.

"You know what he (Elon Musk) said the other day that he never voted for Republicans. You know he told me he voted for me. So he is another bull s*** artist," Trump said at a Save America rally in Anchorage, Alaska.

Musk has denied the claim and has replied "not true" on a news video showing Trump's remarks.

The former US President also commented on the ongoing legal battle between Twitter and Musk. "Elon is not going to buy Twitter. Where did you hear that before? From me...He has got himself in a mess," Trump said.

Trump`s comment comes in the wake of an American billionaire`s decision to back off from the Twitter deal which has led to a lawsuit from the social media giant.

Last week, Musk said he is terminating his USD 44 billion deal to buy Twitter citing multiple breaches of the purchase agreement, according to a letter sent by the billionaire Tesla chief`s team to Twitter.

Trump says Elon Musk voted for him, Tesla chief says nope

In the latest chapter of the Twitter-Musk Saga, tech giant Twitter has sued Elon Musk over the breach of his 44 billion dollar deal to buy the Firm, this comes after Twitter shares took a significant hit and Musk mocked the company's threat to take him to court.

Twitter sues Elon Musk over $44 billion deal; accuses Tesla CEO of destroying company's tock value

Twitter sued Tesla and SpaceX chief Elon Musk on Tuesday (July 12) for breaching the $44 billion contract he had signed to buy the tech firm. As per the court documents, the social media giant called Musk's exit strategy "a model of hypocrisy".

As per the court filing, Twitter has asked a Delaware court to order Musk to complete the merger at the agreed $54.20 per Twitter share.

The lawsuit said: "Musk apparently believes that he - unlike every other party subject to Delaware contract law - is free to change his mind, trash the company, disrupt its operations, destroy stockholder value, and walk away."

The lawsuit contended: "Musk's conduct simply confirms that he wants to escape the binding contract he freely signed, and to damage Twitter in the process. Twitter has suffered and will continue to suffer irreparable harm as a result of defendants’ breaches."

Twitter argued that no financial damages could repair the damage he has caused.

A day before, Twitter attorneys in a letter told Musk's lawyers that the micro-blogging site has breached none of its obligations under the agreement.

It added, "Twitter demands that Mr. Musk and the other Musk Parties comply with their obligations under the Agreement, including their obligations to use their respective reasonable best efforts to consummate and make effective the transactions contemplated by the Agreement."

Twitter slams Elon Musk, says what he did was 'invalid and wrongful'

Twitter stocks took a tumble on Monday (July 12) after Tesla chief Elon Musk withdrew his bid to buy the social media giant for USD 44 billion. On Wall Street, stocks of the platform dropped by 5.46 per cent to USD 34.80 by around 7:05 am (11:05 GMT). It had lost 5.10 percent before the weekend.

Musk pulled the plug on the deal of Friday. He has accused the company of 'misleading' statements about number of fake accounts, as per letter from his lawyers. A copy of the letter was file with the Securities and Exchange Commission (SEC)

The billionaire's latest move to pull out of the deal that was inked in April has paved way for epic court battle over billion-dollar breakup fee.

Twiitter says that the number of fake accounts is less than five per cent. The billionaire says that the number is much higher.

According to several US media, Twitter has hired prominent New York law firm Wachtell, Lipton, Rosen & Katz. Twitter declined to comment to AFP.

After the news broke, Musk tweeted: "They said I couldn't buy Twitter. Then they wouldn't disclose bot info. Now they want to force me to buy Twitter in court. Now they have to disclose bot info in court," accompanied by pictures of him laughing.

For analyst Dan Ives at Wedbush Securities, "this is a 'code red' situation for Twitter and its Board as now the company will go head to head against Musk in a Game of Thrones court battle."

A copy of the letter was file with the Securities and Exchange Commission (SEC) The billionaire's latest move to pull out of the deal that was inked in April has paved way for epic court battle over billion-dollar breakup fee. For analyst Dan Ives at Wedbush Securities, "this is a 'code red' situation for Twitter and its Board as now the company will go head to head against Musk in a Game of Thrones court battle." "We see no other bidders emerging at this time while legal proceedings play out in the courts." (With inputs from agencies) You can now write for wionews.com and be a part of the community. Donald Trump criticises Tesla CEO Elon Musk's $44 billion Twitter deal

The conflict between Tesla CEO Elon Musk and social networking site Twitter seems to be headed for a legal battle after Musk pulled out of the $44 billion takeover deal. While the takeover deal was in the works for quite some time, Musk cited the number of fake users as his reason behind not going through with it. While Twitter puts the number below five per cent, Musk said that the percentage of total fake users on Twitter is somewhere near 20 per cent. Twitter has since threatened to sue Musk and they have now hired United States-based law firm Wachtell, Lipton, Rosen & Katz LLP.

After Musk said that the deal was terminated in the latest SEC filing citing a lack of proof when it comes to the number of fake users on Twitter, the company’s Bret Taylor threatened to sue him. In his tweet, he also said that they may file a lawsuit in Delaware this week.

Incidentally, this was the same law firm who were appointed legal advisers for Musk’s bid to take Tesla private in 2018. While Musk made his motivation extremely clear and even tweeted that he had "funding secured" for a $72 billion deal to take Tesla private, the move did not take place.

As a result, both Musk and his company had to pay around $20 million in civil fines, and it also resulted in the billionaire stepping down as the chairman of the company. There was uproar among the investors, but it saved them from the Securities and Exchange Commission claims.

Twitter hires top legal firm to sue Elon Musk for pulling out of $44 billion deal

Tesla and SpaceX CEO Elon Musk is terminating his bid to purchase the microblogging platform Twitter, with this also putting an end to the most talked-about business stories in recent years. On Friday, Musk sent a letter to Twitter saying he was pulling out of the controversial deal he made in April to buy the platform for $54.20 per share, or $44 billion in total.

The world was expecting that he will weigh in on his decision, explaining why he pulled out. But he avoided any possible discussion over the collapsed Twitter deal when he addressed an audience of moguls on Saturday in Sun Valley.

News agency Reuters spoke to two sources who attended the conference. They said that Musk spent most of his time talking about colonising Mars and extolling the virtues of boosting birth rates on Earth.

The world's richest man spoke about how birth rates are declining in wealthy countries. The billionaire entrepreneur took the stage at the Allen & Co Sun Valley Conference, an annual gathering of media and technology executives in Idaho.

The interview was conducted by Sam Altman, CEO of OpenAI, an artificial intelligence research company founded by Musk and several others.

Elon Musk talks about Mars and birth rates but no comments on Twitter

American TV personality Meghan McCain is calling out Nick Cannon and billionaire Elon Musk, and do you want to know why? Because of Nick and Elon musk's recent Twitter chat in which both of them are proudly talking about their growing family and fathering so many children.

Recently, it was shockingly revealed that Musk secretly welcomed twins into this world with one of his company's executives Shivon Zilis, last year in November. Apart from twins, Musk also welcomed a girl via surrogate with singer Grimes.

Meghan op-ed: This 'impregnate the planet' mentality is creepy

Now, Meghan has slammed both Elon and Cannon in her new The Daily Mail op-ed.

Calling Elon and Cannon's chat, ''creepiest tag team tweet thread in history,” McCain further wrote, “I don’t care how many times Musk eviscerates cancel culture and wokeism. I don’t care that he is ‘supposedly’ buying Twitter to save it from the bots and thought-police, or colonizing Mars to save the human race. This is flat out weird.”

Further, describing both Elon and Cannon's growing kid's chart, she wrote, ''If you look at the timeline of the births of Musk's children, you'll see he had a son with singer Grimes in May 2020, then twins with Zilis in November 2021, and then a daughter via surrogate with Grimes in December 2021.''

''So, he apparently had simultaneous pregnancies going on.''

''Cannon fathered four babies in a year's time and then jokingly referred to his manner of procreation as akin to a 'seahorse'.''

Reacting to their weird thoughts, Meghan wrote, ''This 'impregnate the planet' mentality is creepy and comes off like the actions of a cult leader more than an altruistic person who wants to expand their family and save the planet.'' Via a Daily Mail.

Cannon & Musk Twitter thread:

This all started after Musk confirmed that he had welcomed twins last year and reacting to this, Cannon, who is also a father of seven children - soon going to be eight, gave a big thumbs up.

''Doing my best to help the underpopulation crisis. A collapsing birth rate is the biggest danger civilization faces by far,'' Elon twitted confirming the news.

Reacting to this, Nick wrote, ''Right there with you my Brother!✊🏾''

In no time, the Space X CEO responded to Nick's tweet and wrote, ''Congrats on your family! We must expand the scope & scale of consciousness for civilization to flourish & understand the nature of the Universe. Consciousness resides most strongly in humans, therefore we need more people!''.

Elon Musk proposed a new form of transport a decade ago that would shoot passengers through vacuum tunnels in levitating pods at almost the speed of sound -- he called it "hyperloop". Since then, cities from Abu Dhabi to Zurich have been touted as destinations, research projects have gobbled up millions of dollars and a host of commercial ventures have sprung up.

As reported by AFP, Rick Geddes, a transport infrastructure expert at Cornell University in the United States, who compared the excitement to the early days of aviation, said, "The transportation network has not had a new mode for over 100 years." And, nobody has come close to making the hyperloop work.

The difficulties have ranged from costs and finding suitable locations, to simply persuading people that travelling through a narrow tunnel at speeds faster than a jet plane is a good idea. Gravitas: Elon Musk's Twitter deal in 'serious jeopardy'

Elon Musk's pursuit of Twitter was a melodrama from beginning to end, a volatile courtship between a mercurial billionaire and the massively influential social media platform. That relationship, an apparent love-hate affair from Musk's side, now seems set to end in an acrimonious divorce, as reported by AFP.

The courtship began with an expensive first date: Musk -- a longtime Twitter user known for inflammatory tweets -- snapped up 73.5 million shares at the cost of nearly $2.9 billion. The purchase, which was revealed in an April 4 regulatory filing and gave him a 9.2 per cent stake in the company, sent Twitter shares soaring and sparked speculation that Musk was seeking an active role in the social media company's operations. It also earned him a seat on the board. CEO Parag Agrawal announced the offer -- in a tweet, of course -- and called Musk "a passionate believer and intense critic of the service which is exactly what we need."

But the honeymoon didn't last long, Agrawal said on April 10 that Musk had decided against joining the board, a move the Twitter CEO believed was "for the best." Rather than amicably parting ways, Musk launched a hostile takeover bid for the company, offering $54.20 a share, an April 13 filing showed. After saying it would "carefully review" the offer, Twitter adopted a "poison pill" defence, announcing a plan that would allow shareholders to purchase additional stock.

Then came the plans for a walk down the corporate aisle, the big day of 'engagement', Twitter reversed course and said on April 25 that it was selling to Musk in a deal valued at $44 billion. But weddings can be expensive, so Musk took action to cover the cost, parting with $8.4 billion in shares in electric carmaker Tesla. He pledged up to $21 billion from his personal fortune, with the rest financed by debt. Musk was already planning his new life with Twitter, saying a few days later that he would lift the ban on Donald Trump, which was handed down after the January 2021 riot at the US Capitol by the then President's supporters.

But Musk soon began showing signs of cold feet, saying on May 13 that the deal to buy Twitter was "temporarily on hold" pending details on spam and fake accounts on the platform. In early June, advocacy groups decided to speak now instead of forever holding their peace, launching a campaign to stop Musk from going through with the purchase, which they said would allow him to "hand a megaphone to demagogues and extremists." Musk meanwhile accused Twitter of failing to provide data on fake accounts, and threatened to 'breakup'.

On June 16, however, he offered signs that the match was still a go, pitching a vision to the Twitter staff of a one-billion-user platform. But he was hazy on issues such as potential layoffs and free speech limits. It all came crashing down on July 8, when Musk called off the 'wedding' and accused Twitter of making "misleading" statements about the number of fake accounts. The breakup between the billionaire and the social media platform is set to be far from friendly. Twitter's chairman tweeted that the company will pursue legal action to enforce the deal, setting up a pricey showdown as the divorce heads to court, as reported by AFP.

From volatile courtship to messy divorce: Elon Musk's love-hate affair with Twitter

Twitter has said that they will be suing Tesla CEO Elon Musk after he pulled out of the $44 billion agreement to buy the company. “The Twitter Board is committed to closing the transaction on the price and terms agreed upon with Mr. Musk and plans to pursue legal action to enforce the merger agreement,” tweeted Twitter’s chairman, Bret Taylor, just after the official announcement.

In the latest Securities and Exchange Commission (SEC) filing, Musk’s lawyers said that the billionaire will not be going forward with the takeover due to concerns over fake users. While Twitter puts the number below five per cent, Musk was of the opinion that it was around 20 per cent of total users.

In the initial deal, both parties agreed on a termination fee in case the deal does not go through and as a result, Musk is currently in breach of the terms, and he will have to play $1 billion to Twitter.

While nothing was clearly stated by Musk and his team, Twitter believes that he is trying to avoid paying the amount as it was not mentioned anywhere in the SEC filing on Friday. As a result, a legal battle is expected between the two parties at the end of a long-drawn takeover battle.

Earlier, an internal memo sent by Twitter general counsel - Sean Edgett - told staffers to “refrain from Tweeting, Slacking, or sharing any commentary about the merger,” and that management would be “very limited on what we can share”, according to several media outlets.

Twitter threatens to sue after Elon Musk pulls out of $44 billion deal

Tesla CEO Elon Musk has officially terminated his $44 billion takeover deal for social networking site Twitter over concerns about the number of fake users. Musk said on Friday that the decision was taken after Twitter failed to provide necessary information about the fake accounts. The takeover was dragging on for quite some time and after Musk expressed his concerns, the share prices went down almost 7 per cent in the past few weeks. According to the SEC filing, lawyers said that Twitter did not provide Musk with the necessary information despite multiple requests from their end.

"Twitter is in material breach of multiple provisions of that Agreement, appears to have made false and misleading representations upon which Mr. Musk relied when entering into the Merger Agreement," the filing said according to Reuters.

According to experts, this can result into a long-drawn legal battle between Musk and Twitter as the terms of the deal stipulated a $1 billion break-up fee if he does not complete the transaction.

Earlier, Musk maintained that the deal is being delayed by concerns about the fake users. During his speech at the Qatar Economic Forum last month, he said that his team is working towards the deal.

"So, we are still awaiting resolution on that matter and that is a very significant matter," he said.

However, the number of fake users ended up being the main point of concern between the two parties as Musk estimated the number to be around 20 per cent. Although Twitter said that it is not more than 5 per cent, the two parties were unable to find a middle ground.

Elon Musk withdraws $44 billion bid to buy Twitter over ‘misleading representations’

Elon Musk’s proposed $44 billion takeover of social networking site Twitter is in danger, according to a Washington Post report, and it has resulted in a dip in share prices of the company. The deal was on the verge of completion, but it has hit a wall since the Tesla CEO expressed his concern about the percentage of fake users on Twitter. Although the company has denied it, the Washington Post report said that Musk is still unable to determine the percentage despite access to internal data of the company. While there has not been any official statement from Musk, the report quoted an anonymous source who said that his team is currently preparing for a "change in direction."

The share prices of Twitter have dropped almost four per cent since the report came out and experts believe that the takeover may be headed towards a “finale” in the coming days.

"The Twitter soap opera is clearly coming to some sort of finale over the coming months as Musk makes the decision to stay (with a lower price) or go," Wedbush analyst Dan Ives said in a note to investors according to Forbes. "The Twitter deal has clearly caused chaos at Twitter."

Elon Musk's proposed Twitter acquisition in 'serious jeopardy' over fake users: Report

According to reports, Elon Musk can walk away from his deal to acquire Twitter by paying an agreed-upon $1 billion breakup fee. Twitter shares slid late Thursday after a report claimed that Musk's $44 billion deal to buy the social media giant is in danger.

Report: Musk can walk away from Twitter deal after paying $1 billion breakup fee

Billionaire Elon Musk's massive $44 billion deal to buy microblogging platform Twitter is in 'Jeopardy' according to a Washington Post report. Elon Musk has threatened to walk away from the deal if the company can't show that less than 5% of its daily active users are automated spam accounts.

Elon Musk’s Twitter deal in danger? Twitter speaks on spam accounts

Tesla chief executive Elon Musk and Shivon Zilis, a top executive at his brain-chip startup Neuralink, had twins in November of 2021. In April, Musk and Zilis filed a petition to change the name of the twins which was approved by a Texas judge a month later.

Ever since it was revealed that Tesla chief Elon Musk secretly fathered twins with a top executive of the billionaire’s Neuralink company, there have been speculations swirling around on the identity of the woman, with whom Musk had an affair. The woman has now been identified as Shivon Zilis. She is believed to have given birth to Musk’s twins in November 2021. After the news came to the light, Musk did not refute it, rather he confirmed the rumour with this tweet, “Doing my best to help the underpopulation crisis. A collapsing birth rate is the biggest danger civilization faces by far."

Notably, Musk and Zilli’s twins were born just weeks before he had his second child with ex-girlfriend Grimes who was born via surrogacy in December 2021. With the birth of the twins, 51-year-old Musk is now the father of 9 children.

Who is Shivon Zilis?

Shivon, 36, and Musk met in San Francisco when she was offered a job as an advisor in OpenAI, Musk’s artificial intelligence company. It is an R&D non-profit company. While working there, Zilis climbed the ladder as one of Musk’s top executives.

She is a Canadian and reportedly born to an Indian-immigrant mother and a Caucasian father.

She studied Economics and Philosophy at Yale University, and as of now is the director of operations and special projects at Neuralink. She has been associated with this company since 2017.

Zilis to lead Twitter?

Some reports claimed Shivon Zilis could lead Twitter if Elon Musk's bid goes through. The day Elon Musk struck a deal to take over Twitter, Zilis tweeted, “It’s nice when there are days where you end up more net hopeful for the future.”

Zilis has shown interest in Musk's other projects, including SpaceX. In May, she tweeted that she switched her Twitter timeline to a reverse chronological view, something Musk has advocated for.
