An Essel Group company, Konti Infrapower and Multiventures, has moved the National Company Law Tribunal (NCLT) against Kotak Asset Management Company (AMC) over the asset management company’s failure to honour certain contractual obligations. Claiming dues to the tune of Rs 12.99 crore, the Essel Group entity has stated that Kotak AMC, as a corporate debtor, is yet to meet its financial obligations under an agreement dated April 6, 2019.“As the Corporate Debtor failed and neglected to honour its contractual obligations as given under Agreement dated 6th April 2019, the Applicant vide demand notice dated 19 February 2025, inter-alia called once again upon the Corporate Debtor to release the due amounts as a pro-tem measure. Till date, the Financial Creditor has not received payment from the Corporate Debtor,” reads the plea by Konti Infrapower and Multiventures.&nbsp;&nbsp;<h2>What is the plea about?</h2>&nbsp;The matter is related to the Rs 20-crore non-convertible debentures (NCDs) subscribed by Kotak AMC of Essel Group entities on the pledge of listed equity shares of Zee Entertainment Enterprises Limited (ZEEL), which in turn was the underlying security for the NCDs.The NCDs were sold by Kotak AMC to certain other investors in February 2019, and the advancement of Rs 12.99 crore was in relation to this part only. &nbsp;According to Konti Infrapower and Multiventures’ plea, certain obligations arose due to the NCD issue, for which, a sum of Rs 12.99 crore was advanced to Kotak AMC. Under the agreement, the Kotak group company was required to repay the amount to Konti Infrapower after the completion of the market regulator SEBI’s routine annual inspection. SEBI was due to issue its report after completing the routine annual inspection of Kotak AMC from April 2019 to March 2020. Further, the amounts advanced were to be refunded after unit holders of Kotak AMC were paid the amounts under the underlying NCDs. &nbsp;Konti Infrapower and Multiventures said it wrote two letters to Kotak AMC on July 6, 2022, for the release of the amounts as per the agreement, to which Kotak AMC replied on July 28, 2022, that the inspection of SEBI was not complete.&nbsp; &nbsp;According to the Essel Group company, SEBI’s inspection of Kotak AMC, which is the trigger point for the refund of its money, has been completed, and a report dated 28 March, 2023, has been prepared. Also, Kotak AMC liquidated its NCDs and repaid the unitholders. &nbsp;The next hearing in the matter is due on July 10. The chairman added that the company's aim is to service debt by selling assets, and till now, it has successfully repaid Rs 40,000 crore ($4.8 billion) to the lenders.

"So far, we have paid Rs 50,000 crore ($6 billion) in interest as well," Dr Chandra stated.

He further informed that Dish TV is now&nbsp;debt-free and the Zee Enterprises-Sony merger process is also expected to get completed soon.

The chairperson said that he has been mentoring startups these days. Speaking about the ups and downs of life, Dr Chandra said, "A strong person never runs away from the problem but fights it.”

He further added that bad times taught him a lot.

<h2>When did the debt-repayment process begin?</h2>

The chairman of Essel Group, which has finished its 97 years, said that the group started repaying debt in January 2019. "It was our aim to repay all our debts by March 31, 2023; however, it couldn't be executed as the assets couldn't be sold due to some reasons," said Dr Chandra. He, however, added that some assets will be sold, after which the debt will be repaid.

Essel Group Chairman and Rajya Sabha MP Dr Subhash Chandra on Saturday extended his best wishes to the students graduating the class of 2022 from Mount Litera School International in Mumbai.

Dr Chandra had come here to be a part of the Class 2022 Graduation Ceremony - Dare to Dream.

While addressing the students, Dr Chandra shared some success mantras. He said, "There is regret in past, and future thoughts give anxieties, hence try to live in present."

"Live in the present and accept the reality as it takes away half of the sufferings," the Essel Group Chairman added.

Talking about his experience, Dr Chandra said that May 21, 1926, was the day when his great-grandfather (had established this group.

Dr Chandra added that the lesson of these sufferings is that misery is everywhere, and everyone has to go through them.

"It was 21 May 1926 when great grandfather established this group and our family has seen ups and downs. Those learnings say sufferings are everywhere. Everyone has to go through sufferings - big or small."

This is the second batch graduating from Mumbai's Mount Litera School International. The first celebration was postponed last year due to the COVID-19 pandemic.

In a major setback to Yes Bank, Allahabad High Court has refused to interfere in a case related to freezing of DishTV shares by the Gautam Budh Nagar police of Uttar Pradesh Police which have been mortgaged with Yes Bank.

A bench of Justices Mahesh Chandra Tripathi and Subhash Vidyarthi wrote in its order, “We are of the opinion that the writ jurisdiction should not be exercised to stifle the legitimate investigation. It is well settled that the High Court should normally refrain from giving prima facie decision, in case, where the entire facts are incomplete and hazy, more so, when the evidence has not been collected and produced before the Court.”

HC further noted in its order that “the issues involved whether factual or legal are of magnitude and cannot be seen in their true perspective without sufficient material. In the present matter, we lack sufficient material. Therefore, we are of the opinion that disputed facts cannot be examined under Article 226 of Constitution of India and once efficacious statutory remedy is available to the petitioner against the notice impugned, then we decline to exercise our discretionary jurisdiction under Article 226 of Constitution of India. Accordingly, the writ petition fails and is dismissed on the ground of availability of statutory remedy”.

The crime branch Gautam Budh Nagar police had issued a notice on Nov 5 to Yes Bank and NSDL for freezing the shares of Dish TV, which were pledged to the bank and later invoked by the lender.

Yes Bank had challenged the freezing of shares by the crime branch in Allahabad HC, pleading that it has to exercise its voting rights in general body meeting to be held on November 30.

During the hearing, the prosecution labelled serious allegations of misleading by Yes Bank to the high court using manufactured documents.

The prosecution also blasted the plea of Yes Bank which was seeking quashing of FIR, saying that when the bank is not made an accused in the case, then on what basis is quashing being sought.&nbsp;

The prosecution also told to the court that freezing of the shares by the crime branch is based on 1.5 years of serious investigation into the various aspects of the case.

Dr Subhash Chandra, Mentor of Essel Group had filed a criminal complaint with the Gautam Buddh Nagar police, wherein he alleged that a conspiracy was hatched by Rana Kapoor, former chairman and CEO of Yes Bank, Venugopal Dhoot, former CMD of Videocon Group and others to cause loss by forcing the merger of Videocon D2H with Dish TV.

He alleged that Kapoor forced this deal so that the proceeds of the same can be transferred to Videocon and later to Yes Bank, as Videocon Group loans were on the verge of tagged as non-performing asset (NPA). He alleged that Kapoor has threatened if the deal is not done, then, he will recall all the loans given to the Essel Group companies.
