WION Fineprint | Elon Musk to acquire troubled Twitter by Friday

Even though there is still time before he finalises the $44billion acquisition deal, Elon Musk seems to be in the mood to make major changes to how the Twitter app would function once he takes over.

In a tweet, the 51-year-old billionaire indicated that the microblogging site might host a built-in video feature to compete with the likes of YouTube, in a bid to shore up additional revenues for the app.

Responding to a Twitter thread about how this might be executed, Musk posted a winking face emoji.

“Once @elonmusk takes over, I wonder if @TwitterSpaces platform can evolve towards video and compete with @YouTube for content creation…” the Twitter thread read.

“It is insane that Twitter has not currently implemented a YouTube clone. Half my tweets are links to YouTube videos. Twitter does not capture any value here. If users could watch monetised videos on Twitter, Twitter would capture ad revs and massively increase [revenues].”

Elon Musk plans major update for Twitter

Elon Musk has told bankers and co-investors who committed to fund his $44 billion Twitter deal that he would complete the acquisition process by Friday, Bloomberg reported citing a person familiar with the matter.

The banks, who have committed to provide $13 billion of debt financing, have reportedly finished drafting the final credit agreement.

According to the Bloomberg report, the debt financing banks are in the process of signing the documentation, which is one of the last steps before sending the money to the Tesla chief.

Earlier, the 51-year-old tech mogul had pledged to provide $46.5 billion in equity and debt financing for his buyout of the microblogging site, which includes the $44 billion price tag and closing costs.

Banks, including Morgan Stanley and Bank of America Corp, have committed to provide $13 billion of debt, while equity investors, including Oracle Corp co-founder Larry Ellison and Saudi Prince Alwaleed bin Talal, will pitch in with $7.1 billion.

The move comes in response to the October 28 deadline given by Delaware Chancery Court Chancellor Kathaleen St. Jude McCormick to close the deal.

The judge said that if Musk refuses to complete his buyout, the trial between him and Twitter would begin in November.

After agreeing to buy Twitter for $54.20 per outstanding share in April, Musk sought to terminate the deal citing concerns over the prevalence of bots on the platform. Twitter then sued him to follow through with the acquisition.

In the weeks since the litigation was paused, the social network site continued to take steps toward closing the deal.

Musk tells bankers, co-investors he will close $44bn Twitter deal by Friday: Report

The face of an ant is not something that most people have seen but it has become a center of a lot of attention thanks to a picture taken by Lithuanian photographer Eugenijus Kavaliauskas. The picture, which won a prestigious prize at a Nikon photography competition, introduced many people to a magnified image of an ant’s face which has left them both fascinated as well as “horrified”.

The wildlife photographer submitted the picture for the competition under the “microscopic photography” category. It showed the microscopic image of the face with the eyes and teeth of the ant being in special focus. It was one of the rare occasions when the subject was properly captured.

Social media giant Twitter has said that billionaire Elon Musk was under a federal investigation in relation to his USD 44 billion takeover deal. Twitter made the statement in a court filing that was made public on Thursday (October 13). Twitter said that though it requested for months, Musk's attorneys did not produce their communication with the federal authorities. Twitter then asked a Delaware judge to order them to provide the documents.

In late September, Musk's attorneys provided a "privilege log" identifying documents to be withheld from discovery. The log referenced drafts of a May 13 email to the U.S. Securities and Exchange Commission and a slide presentation to the Federal Trade Commission, Twitter said.

"This game of 'hide the ball' must end," the company said in the court filing.

Reuters said that an attorney for Musk didn't immediately respond to a request for comment.

Twitter's court request was filed on October 6, the same day the Delaware judge halted the litigation to allow Twitter and Musk to close the takeover deal.

US Securities and Exchange Commission (SEC) has questioned Musk's comments about Twitter acquisition. In April, the SEC asked Musk whether the disclosure of his 9% Twitter stake was late and why it indicated that he intended to be a passive shareholder. Musk later refiled the disclosure to indicate he was an active investor.

In June, the SEC asked Musk in a letter whether he should have amended his public filing to reflect his intention to suspend or abandon the deal.

A Twitter investor has accused Tesla CEO Elon Musk of market manipulation in order to get a better deal in his proposed $44 billion takeover of the social media platform. The investor - Giuseppe Pampena – said that Musk’s decision to go ahead with the purchase this week after constantly attacking Twitter in public “essentially acknowledged that he had been bluffing all along about backing out of the deal.”

The deal between Musk and Twitter was almost on the verge of completion in April earlier this year but the billionaire decided to back out. Musk blamed the number of fake users on the platform for his decision and said that 20 per cent of the total users on Twitter are actually bots.

The claim was completely dismissed by Twitter officials as they put the actual number somewhere around 5 per cent. In the next few months, Twitter also provided Musk with an insight into their books and even announced that they were open to sharing their company data with Musk’s lawyers.

Aakash Chopra remains one of the most followed and active cricketers on Twitter. Chopra, who represented India in 10 Tests, has always been vocal on various aspects of the gentlemen's game and keeps sharing his opinions on several cricketing topics. After India's seven-wicket win over South Africa in their ongoing home ODIs, on Sunday (October 9), Chopra posted a video on the second and penultimate encounter.

Describing the entire match in a quirky video, Chopra was needlessly trolled by a Twitter user. "Please explain your career too. What is this? How can you talk about cricket? Following a sudden U-turn, Elon Musk is now in a position to take over the social media site, which are likely to result in a variety of technical and operational changes. Just before he decided to join the board of directors in April, Musk texted Twitter CEO Parag Agrawal, saying, "I have a tonne of ideas. I only want Twitter to be as fantastic as possible."

Before the deal can be finalised, there are some obstacles to be addressed. Musk's $44 billion buyout offer for Twitter still needs to be accepted, and it appears that the parties cannot agree on finance parameters. Musk asked Twitter to discontinue all legal action in a filing with the Delaware Chancery Court, cancelling a court hearing that was still set for October 17, according to CNBC.

However, if the agreement is approved, analysts caution that Musk's emphasis on unfettered free expression may offer additional difficulties, which might have significant ramifications for the online community only weeks before the U.S. midterm elections.

There may be a change in command

Cleaning house is expected to be Elon Musk's first action after taking over. He is expected to start with Twitter CEO Agrawal, who took over the role last year after co-founder Jack Dorsey resigned. Despite the fact that the two had initially wanted to cooperate, text exchanges between Musk and his business partners show how unhappy he was with Agrawal's direction.

Long before the tragic Jan. 6 uprising at the U.S. Capitol, Musk declared that his primary priorities would be to protect free speech on Twitter and grant access to the former president Donald Trump.

Less barriers to extremism and false information

Musk could overturn restrictions put in place by Twitter to make the platform safer for users who are more likely to be at risk, such as women, LGBTQ people, and people of colour, such as the prohibition on misgendering transgender persons, in addition to lifting the bans on a number of accounts.

An edit button might be added

As many people had been seeking for years, Musk recently expressed interest in allowing users to edit their tweets. In a survey he conducted in March, roughly 74% of his Twitter followers stated they were in favour of including the edit feature.

Musk bought himself some time on Thursday, after a judge accepted the billionaire's request to halt a Twitter lawsuit to allow him to close his proposed $44 billion buyout of the social media company by Oct. 28.

Now comes the big question: how will he pay for it?

Musk said earlier this week he would buy Twitter for $54.20 per share, the price that was agreed in April, but included a condition that the closing of the deal be contingent on debt financing for the transaction coming through.

What is his financing plan?

For the acquisition, Musk has promised to contribute $46.5 billion in equity and debt funding, covering the transaction's $44 billion price tag and closing costs. A total of 13 billion dollars in debt financing will be provided by banks, including Morgan Stanley and Bank of America Corp., to fund the purchase.

On Thursday, Twitter cited one of the banks as alleging that Musk had not informed them of his plans to conclude the deal. Banks were "working constructively to fund the closing" on or around October 28, according to Musk.

Musk's $33.5 billion equity commitment would include his $9.6% ownership in Twitter, which is worth $4 billion, as well as the $7.1 billion he raised from equity investors, including Saudi Prince Alwaleed bin Talal and co-founder of Oracle Corp. Larry Ellison.

To cover the equity finance element of the agreement, Musk will still need to raise a further $22.4 billion in cash.

Deal back on: How much will Twitter change after takeover by Elon Musk?

A Delaware judge has decided to halt the lawsuit filed by Twitter against Tesla CEO Elon Musk for non-completion of the proposed $44 billion takeover and order the deal to be completed by October 28. Till the 28th, Judge Kathleen McCormick said that the litigation will temporarily stay halted.

Earlier, Musk asked a United States judge on Thursday to suspend Twitter’s lawsuit. Musk’s request came after Twitter decided to go forward with the litigation for now despite of the billionaire’s assurances regarding the deal.

"As a result, there is no need for an expedited trial to order defendants to do what they are already doing and this action is now moot," said the court filing according to AFP.

The filing also stated Musk is currently working on securing the funds needed to complete the takeover deal and it should be completed by October 28.

"Twitter will not take yes for an answer. Astonishingly, they have insisted on proceeding with this litigation, recklessly putting the deal at risk and gambling with their stockholders’ interests."

Proceeding with a trial could drag out payment to Twitter's shareholders by months, the filing added.

Musk decided to resume his interest in the social media company after backing out due to allegations regarding the total number of fake users. Musk said that there are around 20 per cent of fake users on Twitter but the company denied it all and said that it is around five per cent.

On Tuesday, Musk submitted a request saying that he is willing to complete a deal at $54.20 a share – the original offer made by Tesla. Twitter has also expressed their willingness to complete the deal.

However, the company has not suspended the lawsuit which is supposed to begin on October 17 at the Delaware Court of Chancery. As a result, Musk can face deposition in the coming days.

US judge halts Elon Musk-Twitter lawsuit ahead of possible $44 billion takeover

Apollo Global Management Inc and Sixth Street Partners, which had been looking to provide financing for Elon Musk's proposed $44 billion buyout of Twitter Inc, are no longer in talks with the billionaire entrepreneur, said two sources familiar with the matter.

Apollo had been in talks to provide preferred equity financing for the deal, alongside Sixth Street, sources previously told Reuters. Apollo, Sixth Street and other investors were looking to commit more than $1 billion in financing for the deal at the time.

In reply to tweets saying that neither entities were part of the $7.1 billion of third-party equity financing announced in early May, nor part of the debt financing, Musk said: "correct".

These talks ended months ago around the time Musk started having second thoughts about the deal, the sources cited above said. Musk initially proposed the buyout in April before backtracking in July and then changing course again this week.

Musk and Twitter are attempting to reach an agreement after months of litigation that damaged Twitter's brand and fed Musk's reputation for erratic behaviour.

Twitter and Musk did not immediately respond to requests for comment. Apollo and Sixth Street declined to comment.

Musk's U-turn on buying Twitter could not have come at a worse time for the banks funding a large portion of the $44 billion deal and they could face significant losses because of an unfavourable financing environment, Reuters reported on Tuesday.

Apollo, Sixth Street no longer in talks to finance Elon Musk's Twitter deal

Elon Musk revealed a few days earlier that the reason behind reviving the $44 billion Twitter deal is to make the microblogging site an “everything app”.

“Buying Twitter is an accelerant to creating X, the everything app,” he had tweeted on Tuesday.

Musk wants Twitter to perform as Chinese apps like WeChat which can be used for digital transactions, booking a cab and other financial services. But he didn’t say what kind of other services Twitter might be offering in the future once he takes over.

Nonetheless, the announcement created a buzz on social media, with many discussing as to what an ‘everything app’ entails.

What is ‘everything app’

The concept of an everything app, often referred to as a “super app,” is novel in the US, whereas in Asia, it is massively popular, and tech companies across the world have tried to emulate it.

A super app has been described as a platform that can offer various services under one umbrella, leading many to term it as the Swiss army knife of apps, which can offer a range of component tools (mini-apps) that the user can use and remove as needed.

Where did the concept originate?

China and Southeast Asia have been sort of a pivot in churning out these ‘super apps’

WeChat, GoJek, and Grab are some that leveraged the opportunity of customer traffic on their platforms that originally came for social media and communication by offering additional services leading to increased revenue realisations.

In India, the Tata Group is planning to come up with its own super app.

Reliance Industries, under its Jio umbrella, is amalgamating its various services such as shopping, content streaming, groceries, payments, cloud services, etc.

Whereas, Paytm, which initially started out as a digital payments company, has been offering other services like ticket bookings, games, online shopping, banking, consumer finance, etc.

India’s homegrown Flipkart Group has tied up its payments app PhonePe with companies such as Ola Cabs, Swiggy, Grofers, AJio, Decathlon, Delhi Metro, booking.com, etc to offer these services from within its own app.

Have other US tech firms tried this?

Snap Inc-owned Snapchat earlier introduced peer-to-peer payments called Snapcash, but ended the feature in 2018.

It also made a push into mobile gaming and recently ended that venture as part of cost-cutting plans.

Morning news brief: Twitter deal back on track, Pak PM Sharif calls Khan a 'cheat,' and more

Following confirmation that Tesla chief Elon Musk has offered to buy Twitter with his original offer of $44 billion, the tech mogul revealed the reason for his sudden U-turn.

In his first public remarks following since reviving the offer, the 51-year-old billionaire took to Twitter and said that the acquisition of Twitter is an “accelerant to creating X, the everything app.”

The inspiration behind creating a super app stems from Musk’s admiration of other similar apps from like China’s WeChat and TikTok that offer more services.

He wants to create X as a super app which will combine messaging, social media, payments-and lack of reliance on ad revenue, similar to WeChat.

Though the Tesla chief executive did not explain further what “X” was and what sort of services it would provide, there is a strong indication that he would pit his project against the rivals like WeChat and TikTok.

Meanwhile, Bloomberg on Tuesday reported that the billionaire was ready to complete the takeover at the original price of $54.20 a share.

The report was confirmed after the filing with the US Securities and Exchange Commission on Tuesday was disclosed.

Moreover, lawyers for Musk on Tuesday sent a letter to Twitter offering to honour the original agreement.

The letter is being reviewed by Twitter lawyers, but reports suggest that the deal has been most likely accepted.

"We received the letter from the Musk parties which they have filed with the SEC," a spokesperson for Twitter said, reports The Verge.

Elon Musk ready to buy Twitter at original offer price: Reports

After months of dillydallying and court cases, Tesla boss Elon Musk has proposed to buy Twitter Inc for the original offer price of $54.20 a share, totalling $44 billion according to a Bloomberg report.

The report stated that Musk made the proposal in a letter to Twitter. Immediately after the report came out, trading in Twitter was halted due to volatility in the market for jumping 6.7 per cent.

After Musk reached out with the deal, Twitter is considering the proposal but will not act on it instantly, according to a Washinton Post report. Instead, the microblogging platform will sit on it for another day as there is great distrust on both sides.

Attorneys representing Twitter are wary that the letter might be another clever ruse by Musk to circumvent the legal troubles.

Notably, the supposed proposal comes days before a trial was set to take place in Delaware Chancery Court, starting October 17.

The eccentric billionaire has stalled the deal by claiming that Twitter has close to 20 per cent bot accounts, as opposed to the five per cent that the company claims.

Musk announced in July that he was suspending the deal agreement, alleging Twitter had concealed information about these accounts.

Since then, in a series of back-and-forth events, court cases and online arguments, the deal remained in jeopardy. Earlier this week, a fresh cache of texts between Tesla CEO Elon Musk and Twitter CEO Parag Agrawal was made public.

In the texts, Musk told Agrawal that he does not want to be a boss, to which Agrawal responded by saying, "Treat me like an engineer instead of a CEO."

However, despite the deal turning chaotic, Twitter's shareholders approved the $44 billion buyout. According to Twitter, more than 98.6 per cent of votes were cast in favour of the deal.
