Apollo Global Management Inc and Sixth Street Partners, which had been looking to provide financing for Elon Musk's proposed $44 billion buyout of Twitter Inc, are no longer in talks with the billionaire entrepreneur, said two sources familiar with the matter.

Apollo had been in talks to provide preferred equity financing for the deal, alongside Sixth Street, sources previously told Reuters. Apollo, Sixth Street and other investors were looking to commit more than $1 billion in financing for the deal at the time.

In reply to tweets saying that neither entities were part of the $7.1 billion of third-party equity financing announced in early May, nor part of the debt financing, Musk said: "correct".

Apollo, Sixth Street no longer in talks to finance Elon Musk's Twitter deal

Elon Musk revealed a few days earlier that the reason behind reviving the $44 billion Twitter deal is to make the microblogging site an “everything app”.

“Buying Twitter is an accelerant to creating X, the everything app,” he had tweeted on Tuesday.

Musk wants Twitter to perform as Chinese apps like WeChat which can be used for digital transactions, booking a cab and other financial services. But he didn’t say what kind of other services Twitter might be offering in the future once he takes over.

Nonetheless, the announcement created a buzz on social media, with many discussing as to what an ‘everything app’ entails.

What is ‘everything app’

The concept of an everything app, often referred to as a “super app,” is novel in the US, whereas in Asia, it is massively popular, and tech companies across the world have tried to emulate it.

A super app has been described as a platform that can offer various services under one umbrella, leading many to term it as the Swiss army knife of apps, which can offer a range of component tools (mini-apps) that the user can use and remove as needed.

Where did the concept originate?

China and Southeast Asia have been sort of a pivot in churning out these ‘super apps’

WeChat, GoJek, and Grab are some that leveraged the opportunity of customer traffic on their platforms that originally came for social media and communication by offering additional services leading to increased revenue realisations.

In India, the Tata Group is planning to come up with its own super app.

Reliance Industries, under its Jio umbrella, is amalgamating its various services such as shopping, content streaming, groceries, payments, cloud services, etc.

Whereas, Paytm, which initially started out as a digital payments company, has been offering other services like ticket bookings, games, online shopping, banking, consumer finance, etc.

India’s homegrown Flipkart Group has tied up its payments app PhonePe with companies such as Ola Cabs, Swiggy, Grofers, AJio, Decathlon, Delhi Metro, booking.com, etc to offer these services from within its own app.

Have other US tech firms tried this?

Snap Inc-owned Snapchat earlier introduced peer-to-peer payments called Snapcash, but ended the feature in 2018.

The inspiration behind creating a super app stems from Musk’s admiration of other similar apps from like China’s WeChat and TikTok that offer more services.

He wants to create X as a super app which will combine messaging, social media, payments-and lack of reliance on ad revenue, similar to WeChat.

Though the Tesla chief executive did not explain further what “X” was and what sort of services it would provide, there is a strong indication that he would pit his project against the rivals like WeChat and TikTok.

Elon Musk's peace plan for Ukraine has been described as 'pro-Russian' by western commentators. What are the four main steps included in Musk's proposal? How practical is it?

Gravitas: Elon Musk proposes peace plan for Ukraine and Russia

After months of going back and forth, Elon Musk is proposing to buy Twitter now at the original share price of $54.20. According to reports, Musk made that proposal in a letter to Twitter and this comes just ahead of the October 17 trial.

Elon Musk ready to buy Twitter at original offer price: Reports

After months of dillydallying and court cases, Tesla boss Elon Musk has proposed to buy Twitter Inc for the original offer price of $54.20 a share, totalling $44 billion according to a Bloomberg report.

The report stated that Musk made the proposal in a letter to Twitter. Immediately after the report came out, trading in Twitter was halted due to volatility in the market for jumping 6.7 per cent.

After Musk reached out with the deal, Twitter is considering the proposal but will not act on it instantly, according to a Washinton Post report. Instead, the microblogging platform will sit on it for another day as there is great distrust on both sides.

Attorneys representing Twitter are wary that the letter might be another clever ruse by Musk to circumvent the legal troubles.

Notably, the supposed proposal comes days before a trial was set to take place in Delaware Chancery Court, starting October 17.

The eccentric billionaire has stalled the deal by claiming that Twitter has close to 20 per cent bot accounts, as opposed to the five per cent that the company claims.

Musk announced in July that he was suspending the deal agreement, alleging Twitter had concealed information about these accounts.

Since then, in a series of back-and-forth events, court cases and online arguments, the deal remained in jeopardy. Earlier this week, a fresh cache of texts between Tesla CEO Elon Musk and Twitter CEO Parag Agrawal was made public.

In the texts, Musk told Agrawal that he does not want to be a boss, to which Agrawal responded by saying, "Treat me like an engineer instead of a CEO."

However, despite the deal turning chaotic, Twitter's shareholders approved the $44 billion buyout. According to Twitter, more than 98.6 per cent of votes were cast in favour of the deal.

“Which @elonmusk do you like more? one who supports Ukraine, or supports Russia," Zelensky tweeted.

"It is very positive that somebody like Elon Musk is looking for a peaceful way out of this situation," said Peskov

Moscow lauds Elon Musk after his Twitter poll on Ukraine

Tesla Inc on Sunday announced lower-than-expected electric vehicle deliveries in the third quarter, as logistical challenges overshadowed its record deliveries.

The top electric car maker said "it is becoming increasingly challenging to secure vehicle transportation capacity and at a reasonable cost," but some analysts were also concerned about demand for high-ticket items due to the weakening global economy.

"The economy around the edges is still having a negative impact for Tesla that's mostly logistical. But that I think there is some demand (issues) sprinkled in there," Wedbush Securities analyst Dan Ives told Reuters after the delivery results.

"There is a dark cloud over the auto sector. And Tesla is not immune."

Ford Motor said last month inflation-related costs would be $1 billion more than expected in the third quarter and that parts shortages had delayed deliveries.

Apple Inc. is backing off plans to increase production of its new iPhones this year after an anticipated surge in demand failed to materialize, Bloomberg reported last month, citing people familiar with the matter.

"I think that EVs are in for probably a little bit of a rough patch, just because people are probably going to be a little bit hesitant and less urgent to buy something new," OANDA senior market analyst Ed Moya said.

'CRAZY WAVE OF DELIVERIES'

Tesla delivered 343,830 electric vehicles, a record for the world's most valuable automaker, but less than the 359,162 analysts on average had expected, according to Refinitiv. A year earlier Tesla delivered 241,300 units.

The latest deliveries fell short of Tesla's production of 365,923 vehicles, which is rare for the automaker which has seen its deliveries higher or similar to production in many of recent quarters.

"As our production volumes continue to grow, it is becoming increasingly challenging to secure vehicle transportation capacity and at a reasonable cost during these peak logistics weeks," Tesla said in a statement on Sunday.

Tesla CEO Elon Musk said on Sunday "Smoothing out crazy end of quarter delivery wave to reduce expedite costs & relieve stress on Tesla team."

Last year, he said Tesla is having a "crazy wave" of deliveries at the end of each quarter, because its Shanghai factory makes cars for exports to Europe and other countries in the first half of a quarter and then cars to be sold in China.

Tesla again asked employees to help deliver "a very high volume of vehicles to eagerly waiting customers during the final days of Q3" in California, according to an email seen by Reuters.

Tesla on Sunday said it has "began transitioning to a more even regional mix of vehicle builds each week, which led to an increase in cars in transit at the end of the quarter."

Q4 DELIVERY PUSH

Tesla set an ambitious target to produce almost 495,000 Model Y and Model 3s in the fourth quarter of this year, internal plans reviewed by Reuters show.

The company's production ambitions come against the backdrop of increasingly gloomy outlook for global growth, with Musk himself telling top managers in June he had a "super bad feeling" about the economy and planned to cut staff.

During a conference call in July, Musk said at first that macroeconomic uncertainty might have some impact on demand for its electric vehicles, but when pressed for details by an analyst, he said the company did not have a demand problem but a production problem.

The automaker expanded production capacity in Shanghai after a resurgence in COVID-19 cases forced a suspension at the plant and fueled the first dip in deliveries after a nearly two-year-long record run.

In September, Tesla's vehicle order backlog fell, especially in China, Troy Teslike, a Tesla data tracker tweeted.

Tesla said it delivered 325,158 Model 3 compact cars and Model Y sport-utility vehicle, as well as 18,672 of its Model S and Model X premium vehicles to customers during the quarter. Meanwhile, Musk on Friday showed off a prototype of its humanoid robot 'Optimus,' predicting the electric vehicle maker would be able to produce millions and sell them for under $20,000 - less than a third of the price of a Model Y.

Experts were impressed by the speed of development of Tesla's humanoid robots, but they agreed with Musk, who said "there's still a lot of work to be done to refine Optimus and prove it."

SpaceX chief Elon Musk has agreed to provide the company's satellite internet service, Starlink, to help the people of Southwest Florida, which is battered by Hurricane Ian.

The state has been without power and internet ever since the superstorm made landfall on Friday in the southwest region.

"We are working with Elon Musk and Starlink satellite. They are positioning those Starlink satellites to provide good coverage in Southwest Florida and other affected areas," DeSantis told reporters on Saturday.

Meanwhile, the death toll in one of the most powerful storms ever to hit the United States crossed 44. President Joe Biden will be heading down to the state to make an assessment of the damage caused by Hurricane Ian.

Late Saturday, the Florida Medical Examiners Commission put the death figure to 44 statewide, but there are reports of additional fatalities emerging across many counties.

Several US media outlets like NBC and CBS put the toll figures up to 70 alone in Lee county either directly or indirectly related to the storm.

Apart from that, widespread damages have been reported across the state with homes, restaurants and businesses being ripped apart after Hurricane Ian made an impact and attained the dangerous Category 4 hurricane on Wednesday.

Moreover, over 900,000 people were cut off from power in Florida Saturday night, impeding evacuation efforts by the rescue teams, reported AFP.

In North Carolina and Virginia, more than 45,000 people remained without power, tracking website poweroutage.us said on Saturday.

A fresh cache of texts between Tesla CEO Elon Musk and Twitter CEO Parag Agrawal has recently been made public.

In the texts, Musk told Agrawal that he does not want to be a boss, to which Agrawal responded by saying, "Treat me like an engineer instead of a CEO."

The conversation, as reported by Tech Crunch revealed Musk telling Agrawal, "Frankly, I hate doing mgmt stuff. I kinda don't think I should be the boss of anyone. But I love helping solve technical/product design problems."

Agrawal replied by saying that he does not want to be treated like a CEO either.

Musk said that while he has many ideas, "I just want Twitter to be maximum amazing".

"I would like to understand the technical details of the Twitter codebase. This will help me calibrate the dumbness of my suggestions," he wrote to Agrawal.

"I used to be CTO and have been in our codebase for a long time. So I can answer many, many of your questions," Agrawal replied.

Agrawal took a dig at Musk by saying that he is free to tweet "Is Twitter dying?" or anything else about Twitter, and continued by saying, "but it's my responsibility to tell you that it's not helping me make Twitter better in the current context".

"Next time we speak, I'd like to provide you with a perspective on the level of internal distraction right now and how it is hurting our ability to do work. I would like the company to get to a place where we are more resilient and don't get distracted, but we aren't there right now," a defiant Agrawal told the Tesla CEO.

Musk and Agarwal's conversation with Jack Dorsey, the co-founder and former CEO of Twitter, is also out in the public domain.

On April 26, Dorsey, Musk, and Agrawal participated in a Google Hangout to talk about the acquisition, and their disagreements could be seen in the talks.

Some renowned advertisers like Dyson, Mazda, Forbes and PBS Kids have pulled out from Twitter after they found their marketing campaigns being showcased alongside tweets promoting child pornography.

According to Reuters news agency, some 30 advertisers including Walt Disney Co, Coca-Cola Co and a children's hospital found their ads appearing on the profile pages of Twitter accounts soliciting the illicit material.

These tweets reflected words related to "rape" and "teens”. In one example, a promoted tweet for shoe and accessories brand appeared together with a tweet in which a user said they were "trading teen/child" content.

In another case, a user posted a tweet searching for content of "Young girls ONLY, NO Boys," which was immediately followed by a promoted tweet for Texas-based Scottish Rite Children's Hospital, reports Reuters.

Responding to the issue, Twitter’s spokesperson Celeste Carswell in a statement said that the company has “zero tolerance for child sexual exploitation” and is invested in resources dedicated to child safety.

She further said that Twitter is working closely with its advertising clients and partners to probe and accordingly take steps to prevent the situation from happening again.

However, this doesn’t seem to be an isolated incident. Findings shared by cybersecurity firm Ghost Data has identified more than 500 accounts that have openly peddled sexual abuse material by sharing or requesting over a period of 20 days in September.

It claims that Twitter failed to remove more than 70 per cent of these accounts during the analysis.

Elon Musk is battling for his free speech. Reportedly, the Tesla founder through his attorneys on Tuesday filed a brief to end a consent decree with the US Securities and Exchange Commission (SEC) which requires him to seek the approval of a Tesla lawyer before tweeting posts that might contain material information about the company.

The brief was filed with the 2nd US Circuit Court of Appeals in Manhattan where Musk's lawyers called the pre-approval mandate a "government-imposed muzzle" and urged the federal body to remove it as the objectives of the provisions had been served. "Under the shadow of the consent decree, the SEC has increasingly surveilled, policed, and attempted to curb Mr. Musk's protected speech that does not touch upon the federal securities laws. Any objective served by the pre-approval provision has been served," said Musk's lawyer. While the financial regulator did not reply to Musk's brief immediately, it is expected to file its own brief with the appeals court soon. Musk was put under the proverbial shackles of censorship after an SEC lawsuit claimed that he had defrauded the investors by tweeting information regarding his company. Reportedly, on August 7, 2018, Musk tweeted that he had secured funding to take Tesla private, despite the deal nowhere near being finalised. Read more: Musk files plea seeking to end restrictions that required supervision for some tweets However, his tweet made investors jump in prematurely, only to lose their investment later. Consequently, Musk was cornered by the SEC and was forced to accept the consent decree. According to a previous filing by Musk's lawyers, the former Tesla CEO felt "forced" to sign the initial 2018 agreement because "the SEC’s action stood to jeopardise the company’s financing" and "protracted litigation" would not be in shareholders’ interest. Tesla has recalled over a million of vehicles in the US due to an issue with the window automatic reversal system. The National Highway Traffic Safety Administration said that the vehicles failed to comply with the requirements of the federal motor safety system on power windows.

WION Business News: Tesla to orders to recall over million US cars; to fix issues with software

U.S. regulators say issue in some Tesla car windows may cause them to 'pinch' people when they roll up. Elon Musk says the issue can be fixed with a 'tiny' software update. Priyanka Sharma gives you the details.

WION Fineprint | Tesla to recall around 1.1 million cars over window issue

Tesla has decided to recall almost 1.1 million cars in the United States because of a problem with their window. In a number of cases which were reported in the last few months, the window was closing too quickly and as a result, a number of people were injured as their fingers got stuck in the process.

According to the documents presented by the authorities, the problem was attributed to the fact that the reaction of the windows to any kind of obstruction is resulting in the software accelerating the process. In response, Tesla has said that it will soon launch a system update for the cars.

According to AFP, Tesla found out about the issue during their production testing in August this year.

The company also said that the new update is already there in cars made after September 13.

However, the damage was already done for the existing cars as the National Highway Traffic Safety Administration said that it was a “safety-standards violation” which needs to be addressed.

Since Elon Musk revealed his takeover offer, Twitter has lost around nine per cent of its 8,200 employees. Many employees attribute their departures to the businessman's actions and public pronouncements.

The business informed staff members that its attrition rate, or the rate at which employees quit, was 18.3 per cent in late August. Businesses often aim to keep that number around 10 per cent, especially in the high-paying and perk-rich tech sector.

And between the end of July and the middle of August, just over two weeks, almost 300 employees left. Many did so because their Twitter share options had vested, enabling them to cash out and accept new employment.

But many other employees at the renowned firm grumbled that it was Musk's antics that had led them to leave the social network.

When the Tesla CEO announced in June that he intended to buy the platform for $44 billion, there were already significant rumblings of employee discontent, and many had given notice.

The business apparently forbade employees from publishing new updates out of concern that someone would "go rogue" and push something destructive while they were leaving in response to Musk's buyout. Employees were informed that their jobs were secure for six months in April.

Musk also mentioned the prospect of staff layoffs in an effort to reduce costs. But he claims Twitter misled him about the volume of bogus profiles on its platform, and he now wants to opt out of the $44 billion contract.

He is being sued by Twitter to seal the agreement, and a Delaware court will hear his case in October.

According to company disclosures, Twitter had 7,500 employees as of February, and the company hired more people in the months that followed.

Twitter has lost 9% of its 8,200 employees since Elon Musk announced takeover

Tesla Chief Executive Elon Musk blamed overreliance on factory robots for sending the electric carmaker to "production hell" four years ago, saying humans were better at certain jobs.

My, how times have changed.

Musk's Texas company now is floating ambitious plans to deploy thousands of humanoid robots, known as Tesla Bot or Optimus, within its factories, expanding eventually to millions around the world, according to job postings. Buzz is building within the company as Tesla is having more internal meetings on robots, a person familiar with the matter said.

Longer term, Musk said at a TED Talk robots could be used in homes, making dinner, mowing the lawn and caring for the elderly people, and even becoming a "buddy" or a "catgirl" sex partner.

The robot business eventually may be worth more than Tesla's car revenue, according to Musk, who is now touting a vision for the company that goes well beyond making self-driving electric vehicles.

At its "AI Day" on Sept. 30, Tesla will unveil a prototype from its project Optimus, an allusion to the powerful and benevolent leader of the Autobots in the Transformers series. Production could start next year, Musk said.

Tesla faces skepticism that it can show technological advances that would justify the expense of "general purpose" robots in factories, homes and elsewhere, according to robotics experts, investors and analysts interviewed by Reuters.

Tesla already employs hundreds of robots designed for specific jobs for production of its cars.

Humanoid robots have been in development for decades by Honda Motor Co and Hyundai Motor Co's Boston Dynamics unit. Like self-driving cars, the robots have trouble with unpredictable situations.

"Self-driving cars weren't really proved to be as easy as anyone thought. And it's the same way with humanoid robots to some extent," the lead of NASA's Dexterous Robotics Team, Shaun Azimi, told Reuters.

"If something unexpected happens, being flexible and robust to those kinds of changes is very difficult."

At an "Autonomy" event in 2019, Musk promised 1 million robotaxis by 2020 but has yet to deliver such a car.

Musk's robots may be able to demonstrate basic capabilities at the event, but it would be hard for them to impress public expectations of robots that are as capable as humans, experts say.

To succeed, Tesla will need to show robots doing multiple, unscripted actions, said Nancy Cooke, a professor in human systems engineering at Arizona State University. Such proof could provide a boost to Tesla stock, which is down 25% from its 2021 peak.

"If he just gets the robot to walk around, or he gets the robots to dance, that's already been done. That's not that impressive," she said.

Tesla did not respond to Reuters' request for comments, but Musk in the past proved skeptics wrong, jump-starting the electric car market and building a rocket company, SpaceX, although some product launches were behind schedule.

IN-HOUSE EXPERTISE

Initially, Optimus will perform boring or dangerous jobs, including moving parts around its factories, according to Musk.

Musk acknowledged that humanoid robots do not have enough intelligence to navigate the real world without being explicitly instructed.

But he said Tesla can leverage its expertise in AI and key components to develop and produce smart, yet less expensive, humanoid robots at scale.

He tweeted on Monday that its Autopilot team is also working on its Optimus robot, when asked about fixes of what it calls Full Self-Driving beta - a test version of its new automated driving software.

"Certainly, an important measure of success is do they make money from it," he told Reuters, referring to Tesla's humanoid robot efforts.

"Investors are not excited about Optimus," said Gene Munster, managing partner at venture capital firm Loup Ventures, which holds Tesla stocks. "It's just such a low probability that it works at scale," he said, saying it is "infinitely harder than self-driving cars."

During the 2018 production hell, Musk specifically noted the problems of the "fluff bot," an assembly robot that failed to perform simple tasks that human hands can do - picking up pieces of "fluff" and placing them on batteries.

He said the cost of having technicians maintain the complicated robot far exceeded that of hiring someone to do the assembly.

The fluff bot is "a funny example but drives home the point that autonomy often doesn't generalize well, and so handling soft fluffy material that isn't as predictable as a rigid part was causing a huge problem," Aaron Johnson, a mechanical engineering professor at Carnegie Mellon University, said.

"Human hands are way better at doing that," Musk said.

Space X will seek exemption from US sanctions to provide internet services in Iran, says Musk

Peiter Zatko, a whistleblower for Twitter, informed US Congress last Tuesday of "egregious" security flaws at the firm. However, Twitter shareholders overwhelmingly decided to transfer those issues to Elon Musk.

Given that he is now intent to back out of the deal, it seems improbable that the Tesla CEO, who owns more than 9% of Twitter and agreed to purchase the firm in April, was among the 99% of voting shareholders who supported the $44 billion (£38.5 billion) transaction. If Musk is allowed to walk away from the deal or must buy the company under the terms he had previously agreed to, a Delaware judge will rule on that at a trial that starts on October 17.

Greenlight Capital fund founder David Einhorn increased his holdings in Twitter last month to reflect his belief that the Delaware chancery court will "follow the law" and "apply it here" by compelling Musk to finalise the transaction at $54.20 (£47.46) per share. The hedge firm Pentwater Capital Management, which this year invested heavily in Twitter, has likewise stated that it believes Twitter will succeed.

Musk has been given a chance in Delaware, though, by Zatko, who filed a whistleblower case alleging many security flaws at the corporation. The former head of security at Twitter said that he had discovered "severe, egregious flaws by Twitter in every area" after joining in November 2020 and leaving in January of this year, as reported by the Guardian.

Previously, the bulk of Musk's argument had been based on the allegation that Twitter had purposefully downplayed the number of spam accounts among its monetisable daily active users (mDAU), a crucial business indicator for the company. Spam accounts are non-human-operated and disrupt the site.

The testimony that actually counts to Musk will be provided during a deposition given to his attorneys on September 9 and used in the court case, so Zatko's attendance last week may be seen as a stand-in for that testimony. Zatko's opening statement matched the general themes of what Musk is anticipated to argue.

“I am here today because Twitter leadership is misleading the public, lawmakers, regulators and even its own board of directors. What I discovered when I joined Twitter was that this enormously influential company was over a decade behind industry security standards,” he said.

Musk has been given permission to broaden the scope of his case to include Zatko's revelations, which he claims have a "company material adverse effect" that materially reduces the firm's worth and invalidates the transaction. In his complaint, Zatko also contends that Twitter violated the terms of the merger agreement between the firm and Musk by making false statements regarding its security arrangements and other issues. False statements of fact are used to reassure the counterparty in a contract.

Even with Zatko's backing, experts predict that Musk will find it difficult to back out of the agreement. According to Boston College law professor Brian Quinn, the company had made extensive disclosures in its findings regarding a danger of "real or imagined" security before the sale was reached.

Elon Musk might not be able to escape his Twitter hook despite whistleblower claims

A court filing has revealed that billionaire Elon Musk has accused Twitter Inc of fraud by concealing serious flaws in the social media company's data security.

Following the allegations made by a Twitter whistleblower, Musk amended his previously filed lawsuit. The whistleblower claimed that there was meddling on the influential social media platform by foreign agents.

Alleging that Twitter was not complying with a 2011 agreement with the Federal Trade Commission regarding user data, Musk said he has a full right to walk away from his offer to buy the San Francisco-based company for $44 billion.

In response to Musk's allegations, Twitter said "Mr Musk’s claims are factually inaccurate, legally insufficient and commercially irrelevant."

The former head of Twitter security Peiter "Mudge" Zatko was fired by the company for poor performance following which he told the US Congress that the platform ignored his security concerns.

Pointing out that he tried alerting management to grave vulnerabilities to hacking, Zatko contended that employees across the company had too much access to user data.

Saying that Zatko's claims amounted to fraud and breach of contract by Twitter, Musk said he has asked a Delaware judge to find that he was not obligated to close the deal.

Highlighting that Zatko's accusations were not grounds for terminating the deal agreement, Twitter said it conducted an internal investigation of his allegations and reached the conclusion that they lacked merit.
