ZEE Entertainment & Disney Star sign strategic licensing agreement for exclusive TV rights of ICC men’s events

Sony Pictures Networks India Private Limited (SPNI) and Zee Entertainment Enterprises Ltd. (ZEEL) on Tuesday announced that they have signed definitive agreements to merge ZEEL with and into SPNI and combine their linear networks, digital assets, production operations and program libraries. The agreements follow the conclusion of an exclusive negotiation period during which ZEEL and SPNI conducted mutual due diligence. After closing, the new combined company will be publicly listed in India. The closing of the transaction is subject to certain customary closing conditions, including regulatory, shareholder, and thirdparty approvals.

Under the terms of the definitive agreements, SPNI will have cash balance of USD $1.5 Bn (assuming an INR:USD exchange rate of 75:1) at closing, including through infusion by the current shareholders of SPNI and the promoters (founders) of ZEEL, to enable the combined company to drive sharper content creation across platforms, strengthen its footprint in the rapidly evolving digital ecosystem, bid for media rights in the fast-growing sports landscape and pursue other growth opportunities.

SPNI is an indirect subsidiary of Sony Pictures Entertainment Inc. (SPE). Under the transactions contemplated by a non-compete agreement, SPE, through a subsidiary, will pay a non-compete fee to certain promoters (founders) of ZEEL, which will be used by such promoters (founders) to infuse primary equity capital into SPNI, entitling the promoters (founders) of ZEEL to acquire shares of SPNI, which would eventually equal approximately 2.11% of the shares of the combined company on a post-closing basis. After the closing, SPE will indirectly hold a majority 50.86% of the combined company, the promoters (founders) of ZEEL will hold 3.99%, and the other ZEEL shareholders will hold a 45.15% stake.

As part of the definitive agreements, the promoters (founders) of ZEEL have agreed to limit the equity that they may own in the combined company to 20% of its outstanding shares. Any shares purchased by the promoters (founders) of ZEEL, must be in compliance with all applicable laws including any pricing guidelines.

The NSE Nifty 50 index closed down 0.21 per cent&nbsp;to 12,018.40 and the S&amp;P BSE <a href="https://www.wionews.com/business-economy/nifty-sensex-slip-after-rbi-surprises-by-holding-rates-steady-266369">Sensex&nbsp; </a>ended 0.17 per cent&nbsp;lower at 40779.59.

The RBI left its key repo rate unchanged at 5.15 per cent, and said it would continue with an accommodative stance after its policy meeting.

Economists polled by Reuters expected the central bank to cut rates for the sixth time this year.

"While the decision to pause is not entirely unjustified given the clear lack of efficacy of monetary policy actions through the policy rate cut channel, what is worrying is that the RBI did not announce any unconventional measure but hoped for better transmission of its past actions," said Kunal Kundu, an economist with Societe Generale in Bengaluru.

Expectations of a rate cut were fueled after India's economic growth slowed to 4.5 per cent&nbsp;in the July-September period, its weakest pace since 2013, piling pressure on Prime Minister Narendra Modi to speed up reforms.

The Nifty had risen 7.7 per cent and the Sensex has gained 8.43 per cent&nbsp;since the last rate cut in October, mainly due to measures such as reducing the corporate tax rate and hopes of more stimulus.

Among the sectors, the Nifty metals index&nbsp; fell most, shedding 2.31 per cent, while the state-owned bank's index was down 1.8 per cent&nbsp;at close.

Zee Entertainment closed up 6.18 per cent&nbsp;to top the Nifty gainers, while JSW Steel was the biggest laggard, shedding 3.52 per cent.

The bulls staged a comeback during the second half of the equity trading session on Friday amid expectations that the government may soon announce steps to revive economic growth.

The BSE S&amp;P Sensex closed 228 points or 0.6 per cent higher at 36,701, while the Nifty 50 was up by 88 points or 0.8 per cent to 10,829.

Except for FMCG and private banks, all sectoral indices were in the green at the <a href="https://www.wionews.com/business-economy/equity-indices-open-in-green-sensex-nifty-edge-up-241658">National Stock Exchange.</a>&nbsp;

Nifty media gained by 4.1 per cent, metal by 3.4 per cent, PSU banks by 2 per cent and pharma by 1.4 per cent.

Among stocks, Zee Entertainment was up by 6.5 per cent to close at Rs 350.50 per share.&nbsp;

UPL gained by 6.1 per cent, Vedanta by 5.7 per cent, Yes Bank by 5.6 per cent and Bharat Petroleum Corporation by 5.2 per cent.

Heavyweight Reliance Industries gained by 2.36 per cent to close at Rs 1,275.95 per share.

The other prominent gainers were ONGC, Mahindra &amp; Mahindra, Grasim, Indian Oil Corporation and Coal India.

However, private lenders like IndusInd Bank, ICICI Bank, HDFC Bank, and Kotak Mahindra were among the losers.

ITC, Eicher Motors, Power Grid, and Hindustan Lever also shed gains marginally.

Meanwhile, Asian shares struggled to make headway as uncertainty continued over how much the US Federal Reserve will cut interest rates.

MSCI's broadest index of Asia-Pacific shares outside Japan was 0.1 per cent higher.

Japan's benchmark Nikkei added 0.4 per cent while Shanghai Composite Hong Kong's Hang Seng gained 0.5 per cent each
