News brief: Big stories of the day

Fortis Healthcare today said it has initiated legal action to recover about&nbspRs&nbsp500 crore of funds allegedly taken out of the company by its founders Malvinder and Shivinder Singh after an external investigation found "systemic lapses and override of controls" in the loan given.

The loans were given to its founders without board approval and enough collaterals, it added.

The firm, which is embroiled in a takeover battle, also annulled September 2016 appointment of former executive chairman Malvinder Singh as 'Lead: Strategic Initiatives' and will seek to recover payments made to him in that role as well as any company asset in his possession.

Singh brothers had resigned as directors from the board of Fortis Healthcare in February this year, following the Delhi High Court order upholding the&nbspRs&nbsp3,500 crore arbitral award in favour of Daiichi Sankyo.

Malvinder, who was appointed Lead Strategic Initiatives for five years with effect from October 1, 2016, at a remuneration of&nbspRs&nbsp12 crore per annum, had received&nbspRs&nbsp6 crore during 2016-17 and a proportionate sum for 2017-18.

Fortis, which had initiated an independent investigation through an external legal firm in February this year, following allegations of siphoning of cash by the founding family, said the probe report has been submitted to the Sebi and Serious Fraud Investigation Office (SFIO) of the government.

Fortis said it has made provisions totalling around&nbspRs&nbsp580 crore in the fourth quarter of 2017-18 fiscal pertaining to the loans whose "recoverability is doubtful".

Under the founders, Fortis had loaned about&nbspRs&nbsp500 crore to certain corporate bodies, which subsequently became part of the Singhs' corporate group.

These inter-corporate deposits (ICDs) "were not given under the normal treasury operations" and were not specifically authorised by the board of the company, as per the summary of the probe report that Fortis disclosed in a regulatory filing.

"All ICDs from December 2011 were repaid until March 31, 2016. However, from the first quarter of the financial year 2016-17, it has been observed that a roll-over mechanism was devised whereby, ICDs were repaid by cheque by the borrower companies at the end of each quarter and fresh ICDs were released at the start of succeeding quarter under separately executed ICD agreements.

"In respect of the roll-overs of ICDs placed on July 1, 2017, with the borrower companies, Fortis Healthcare Ltd utilized the funds received from the company for the purposes of effecting roll-over," it said.

For these ICDs, "the investigation report revealed that there were certain systemic lapses and override of controls, including shortcomings in executing documents and creating a security charge," it said. "The charge was later on created in February 2018".

While the investigation report did not conclude on utilization of funds by the borrower companies, there are findings in the report to suggest that ICDs were utilised by the borrowers for granting/ repayment of loans to certain additional entities, including those whose current and/ or past promoters/ directors are known to/connected with the promoters of Fortis.

"The company has initiated legal action for recovery of these outstanding ICDs and other advances," Fortis said.

"The company having considered all necessary facts and taken into account legal advice that it has received, has decided to treat as 'non est' the Letter of Appointment dated September 27, 2016, as amended (LoA) issued to the erstwhile Executive Chairman in relation to his role as 'Lead: Strategic Initiatives' in Strategy Function.

"The company is in the process of taking suitable legal measures to recover the payments made to him under the LoA as also to recover all company assets in his possession," it added.

'Non est' is a legal phrase which is intended to mean 'does not exist'.

According to company's annual report for 2016-17, "Malvinder Mohan Singh, Executive Chairman did not draw any remuneration in his capacity of Executive Director during the FY 2016-17" but was "paid a remuneration of&nbspRs.&nbsp6 crore" for his role as Lead Strategic Initiatives.

In 2015-16, he was paid a remuneration of&nbspRs&nbsp1.59 crore and got&nbspRs&nbsp5.32 crore in the previous fiscal.

Commenting on the findings of the investigation, Fortis Healthcare Chairman Ravi Rajagopal said, "As a result of the Investigation Report issued by Luthra & Luthra, the company will appoint an external agency of repute to establish the highest level of governance and internal controls.

"In addition, our key priority is to ensure that the current bidding process is fair and transparent and maximises value for shareholders."

The board of directors of the company discussed the investigation report during their two-day meeting, which ended early this morning.

The development comes at a time when the cash-strapped healthcare chain is in the process of finding a new investor for which four parties -- Manipal-TPG, Munjals-Burmans combine, IHH Healthcare and KKR-backed Radiant Life Care -- are in the fray.

There was no direct relationship between borrower companies and Fortis Healthcare or its subsidiaries during December 2011 to December 14, 2017, but the report noted that the "promoters were evaluating certain transactions concerning certain assets owned by them for the settlement of ICDs, thereby indirectly implying some sort of affiliation with the borrower companies."&nbsp

The Supreme Court today said issues related to the 2G spectrum case were "highly sensitive" and no officer investigating the matter should be "under any cloud" on a petition against an Enforcement Directorate (ED) officer probing the Aircel-Maxis case.

A vacation bench comprising Justices Arun Mishra and SK Kaul said that allegations levelled against senior ED official Rajeshwar Singh, who is probing the Aircel-Maxis deal case, were serious and required to be looked into.

Additional Solicitor General Vikramjit Banerjee, appearing for the Centre, told the court that the government was willing to investigate the allegations that Rajeshwar Singh amassed disproportionate assets and handed over a communication in a sealed cover to the bench.

The bench, after perusing the documents placed before it in a sealed cover, said sensitive issues were involved in the matter.

"As a matter of fact, when there are allegations, whether right or wrong against you (Singh) it has to be looked into," the bench said, adding "the things which have come before us are startling."

"You are simply an officer. You can't be given a blanket clean chit. Everybody is accountable. You must be accountable for any action. We need to ensure that you are accountable. We don't want to damage you or comment against you. There are very serious allegations against you," the bench told the officer.

Rajneesh Kapur, who claims to be an investigative journalist, has filed a petition in the top court seeking investigation against Rajeshwar Singh for allegedly amassing assets which are disproportionate to his known source of income.

Rajeshwar Singh has also filed a separate contempt petition against Mr Kapur and has claimed that attempts have been made to scuttle or delay the ongoing probe in the Aircel Maxis case.

BJP leader Subramanian Swamy also moved the top court seeking its permission to implead himself as a party in the petition filed by Mr Kapur.

The top court had on March 12 set a deadline of six months for the CBI and the ED to complete the investigation into the alleged irregularities in FIPB approval given in the Aircel-Maxis deal case in which former Finance Minister P Chidambaram and his son Karti Chidambaram have been questioned by probe agencies.

Both constables have since been placed under suspension, the spokesman added.&nbsp

The Malayalam entertainment industry is back in the news as four actresses resigned from the Association of Malayalam Movie Artistes on Wednesday to protest the organisation’s decision to reinstate actor Dileep. Dileep was expelled in July 2017 over his alleged involvement in the abduction and sexual assault of an actress. In addition to these four resigning, several other actresses and political leaders criticised the decision.

As a mark of protest, the assault survivor, along with Remya Nambeesan, Rima Kallingal and Geethu Mohandas announced their decision to step down from the guild for film industry members. They announced this on the Facebook page of the Women in Cinema Collective. The collective was founded in 2017 as a response to the sexual assault on the actress, who was allegedly abducted by a group of men on February 17, 2017.

Reports suggested that Dileep, who was arrested in July, had allegedly planned the attack on the actress because of a personal grudge. According to the police, Dileep and another co-conspirator had hired a group of men to carry out the crime.

In the statement shared on Facebook, the survivor said that she felt there was “no point in continuing in this organisation”.

The statement (in translation) reads:

“I am resigning from AMMA. It is not just because of its decision to reinstate the actor who is accused of assaulting me. It tried to rescue the accused despite the fact the victim is a member of the same organisation. I had complained against him when he denied me of chances, but AMMA didn’t take any action against him. Now I have realised that there is no point in continuing in this organisation.”

President Donald Trump today said he wants foreign workers to come in the US through a merit-based immigration system so as to meet the demands of companies that are moving into America in greater numbers. Indian-Americans, most of whom are highly skilled and came to the US mainly on H-1B work visas, are the worst sufferers of the current immigration system which imposes a seven per cent per country quota on allotment of green cards or permanent legal residency.

"I want people to come into our country because our country is doing so well. We have companies moving into our country at numbers that nobody has seen in a long time. We need workers. So, I want people to come in. They have to come in through the merit system though," Trump told reporters at the White House during a luncheon with members of the Congress.

"They have to come in so that they can help our country and these companies," Trump said responding to a question on immigration after the US Supreme Court upheld his travel ban against people coming from eight Muslim-majority countries.

The US president said he is not against people coming into the country but made it clear he wants them to come legally through a merit-based system, a move which experts believe would help qualified people from countries like India.

In Wisconsin, he said Foxconn, one of the great companies of the world, is setting up a manufacturing base.

"They make the laptop for Apple, and iPhones, a lot of it. And they're building a tremendous plant right now in Wisconsin. They need workers. I have to let people come in. But they have to come in through a merit. They have to be people that can love our country and help our country," Trump said.

Donald Trump said that the current immigration policy makes the least sense.

Trump in November 2017 criticised the nation's visa system in the wake of a truck attack in New York City that left eight dead, blaming Democrats and pressing a `merit-based` program for immigrants to the United States.

"The terrorist came into our country through what is called the 'Diversity Visa Lottery Program', a Chuck Schumer beauty. I want merit-based," Trump wrote in a post on Twitter, referring to the Senate Democratic leader.

In a bid to increase diversity, the Academy of Motion Picture Arts and Sciences has invited 928 new members including actors Shah Rukh Khan, Tabu and Naseeruddin Shah to be a part of the film body.

In an announcement, the Academy said the new members will increase the diversity in a major way as 49 per cent of its invitees are female and 38 per cent are people of colour.

Artistes from 59 countries have been invited as members.

Indian stars feature prominently in the list of the new invitees that includes female stars Tabu and Madhuri Dixit, Anil Kapoor and actor Ali Fazal.

Veteran Bengali actors Soumitra Chatterjee ('Bridge') and Madhabi Mukherjee ('Charulata') are in the list of invitees as well.

Yash Raj Films' Aditya Chopra and producer Guneet Monga also feature in the list.

Cinematographer Anil Mehta, best known for his work in Imtiaz Ali's Rockstar', is also invited so are costume designers, Dolly Ahluwalia and Manish Malhotra.

Other names include Subrata Chakraborty and Amit Ray. Both of them worked in 'Haider'.

'Dangal' editor Ballu Saluja, musicians Usha Khanna and Sneha Khanwalkar of 'Gangs of Wasseypur' represent India in the musician's section.

Oscar-winner A R Rahman, actor Irrfan Khan, Amitabh Bachchan and Aamir Khan are already the Academy members.

The Academy has been actively working to introduce more diversity in its voting to avoid a controversy like 2016 when the Oscars were dubbed "white" for failing to recognise talents of colour.

The Harvey Weinstein sexual harassment scandal in October last year further shaped the narrative in Hollywood with women coming forward and demanding better representation through #MeToo and Time's Up movements.

The Academy seems to have taken these changes in consideration by diversifying its membership.

A US judge has ordered that 120 immigrants, including 52 Indians, be given immediate access to legal aid by allowing attorneys to meet them at the federal prison in Oregon, according to a media report.

Nearly 100 Indians, mostly from Punjab, are detained for illegally entering the country through its southern border. According to officials, around 40-45 Indians are at a federal detention centre in the Southern American State of New Mexico while 52 Indians, mostly Sikhs and Christians, are held in Oregon. The Oregon federal judge has granted the detained immigrants being held in a Sheridan prison immediate access to legal aid, The Portland Mercury reported.

US District Judge Michael Simon yesterday granted an emergency order sought by the American Civil Liberties Union (ACLU) and the Innovation Law Lab, a nonprofit whose attorneys have been denied access to immigrants being held at the prison in Sheridan. “We are a nation under law,” said Simon.

“The rule of law is one of our most cherished principles. And because we are a nation that lives under law, the right to legal counsel is a right that has been recognised as required,” the judge said.

Simon approved an emergency temporary restraining order filed on Friday against the US Immigration and Customs Enforcement (ICE) and the Federal Bureau of Prisons (BOP) for violating the detainees’ constitutional rights to due process, the report said.

The ACLU of Oregon filed a lawsuit on Friday arguing the federal government is violating the constitutional rights of immigration detainees at the federal prison. According to immigration attorney Akansha Kalra the largest number of Indians who enter the US illegally are from Punjab and Gujarat.

US President Donald Trump last week reversed his controversial decision on immigration by signing an executive order to end the separation of immigrant families on the US-Mexico border, following widespread protests against the move of his administration to separate children from their parents who illegally enter the country.
