In 2022, it had to pay fines related to mortgage-backed securities and to avoid the prosecution for money laundering.

In October, Credit Suisse said it would pay $495 million to settle a row with the US state of New Jersey over mortgage-backed securities dating back to the 2008 financial crisis.

In the same month in France, the bank agreed to pay $252 million to avoid prosecution on money laundering and tax fraud charges brought in 2016 over undeclared accounts held by French nationals.

‘Material weaknesses’

Credit Suisse had to postpone its annual report, which was scheduled to be published last week, after a last-minute call from the US Securities and Exchange Commission over revisions made to cash-flow statements for 2019 and 2020.

By Wednesday, two days later, Credit Suisse was swept up in a full-blown crisis. Comments by the chair of Saudi National Bank, Ammar Al Khudairy, who said that he could not invest further in the Swiss bank sent Credit Suisse shares into a tailspin.

It mattered little that Credit Suisse's biggest investor also reiterated confidence in the lender. "They're a globally systemically important bank so...monitored on a daily basis," he told Reuters. "There's no surprises like you would have in a middle-sized bank in the US. It's a completely different ecosystem."

Significant deposit outflows followed, the source who would go on to advise UBS on the merger told Reuters, declining to put a number on them.

In banking center Zurich and Bern, the Alpine state's capital, the pressure was building. Yet as the discussions to salvage Credit Suisse got underway, Swiss regulators FINMA and the Swiss National Bank said that "the problems of certain banks in the USA do not pose a direct risk of contagion for the Swiss financial markets", conceding, however, that they would fund the bank with unlimited access to funding.

Swiss Finance Minister Karin Keller-Sutter, a former translator and teacher just months on the job, told the Sunday media conference that additional support for Credit Suisse had been agreed but held secret for fear of panicking people with a succession of emergency announcements.

She said was in close contact with U.S. Treasury Secretary Janet Yellen and British finance minister Jeremy Hunt. Both countries have large Credit Suisse subsidiaries employing thousands.

There was far less communication with the European Central Bank in Frankfurt, said one person familiar with the matter. Credit Suisse's arms in Luxembourg, Spain and Germany were far smaller.

European regulators were, in particular, worried that the Swiss could impose losses on bondholders - a radical step that they did take, as the costs of a rescue spiralled for taxpayers.

"They did this on their own," said the person, asking not to be named, describing the outcome as a "big surprise".

A spokesperson for FINMA said that although it laid emphasis on Britain and the US because of the scale of Credit Suisse's business in those countries, it had also informed European authorities.

Not everyone, however, was kept in the dark.

Saudi investors, with roughly a 10 per cent&nbsp;stake in the bank, put pressure on the Swiss, warning that they could take legal action if they did not recover some of their ill-fated investment, said another person with knowledge of the matter.

And if well-managed, then, of course, UBS would do an absolutely fantastic deal here and would be significantly strengthened in that core strategy. Of course, there will be antitrust issues and some businesses will have to be sold out or carved out in order to meet regulatory requirements,” Wittmann said.&nbsp;

And if well-managed, then, of course, UBS would do an absolutely fantastic deal here and would be significantly strengthened in that core strategy. Credit Suisse's share price has tumbled from 12.78 Swiss francs in February 2021 due to a string of scandals and crises that it has been unable to shake off.

Like UBS, Credit Suisse was one of 30 worldwide&nbsp;systemically important banks. This means that the bank was deemed of such vital importance to the global banking system that it was called "too big to fail."

But the markets saw the bank as a weak link in the chain.

Amid fears of contagion after the collapse of two US banks, Credit Suisse's share price plunged by more than 30 per cent last Wednesday to a record low of 1.55 Swiss francs, prompting the central bank to step in and offer a $54-billion lifeline.

The UBS-Credit Suisse merger deal was brought about after intervention of the Swiss bank. The official statement said that the deal was necessary for the survival of struggling Credit Suisse.&nbsp;The deal was finalized in accordance with the emergency ordinance issued by the Swiss Federal Council wherein the merger was implemented without approval of the shareholders.&nbsp;

The announcement by the central banks is an "important backstop to ease strains in global funding markets." The move will reduce the affect on the supply of credit to households and businesses.

British banks will have the option of borrowing directly from the Bank of England, which will borrow money from the US Federal Reserve, rather than the open market. The same will apply to banks in the US, Canada, Japan, Switzerland, and the Eurozone. This financing will be available to banks on daily basis.

This kind of arrangement was initiated earlier also at the time of&nbsp;2008 financial crisis and the Covid pandemic. The swap line will continue "at least through the end of April", as per the Bank of England.

Latin finance ministers hold meeting in Panama amid banking crisis

According to the Financial Times (FT), which has cited multiple sources, the boards of Switzerland’s two biggest lenders are all set to meet separately over the weekend to discuss a possible merger.

However, it is reported that both banks are against a merger despite regulators' best efforts to do so.

It is said that the negotiation is being orchestrated at the behest of the Swiss National Bank and regulator Finma in a bid to restore confidence in the country’s banking sector.

Swiss regulators on Friday informed their US and UK counterparts that the merger was the “plan A” to arrest a collapse in investor confidence in Credit Suisse, one of the people told FT.

However, the news of the merger failed to revive the market fortunes of Credit Suisse whose shares performed poorly on Friday— the worst since the onset of the coronavirus pandemic.

European Central Bank supervisors met to tackle growing cracks in the banking system on Friday after a $30 billion lifeline for U.S. lender First Republic Bank eased fears of its imminent collapse.

Large U.S. banks on Thursday swooped in to rescue the San Francisco-based bank, which was caught up in a widening shock triggered by the collapse of two other mid-size U.S. lenders.

The rescue package came less than a day after Credit Suisse clinched an emergency central bank loan of up to $54 billion to shore up its liquidity. Shares in Switzerland’s second-largest bank were lower in Friday morning trading.

The two deals helped restore some calm to global markets, after a torrid week for banking stocks.

“The Supervisory Board is meeting to exchange views and to provide members with an update on recent developments in the banking sector,” an ECB spokesperson told Reuters.

The ECB, which on Thursday raised interest rates by 50 basis points, held another ad hoc supervisory board meeting earlier this week in an unusual move ahead of a scheduled gathering next week.

“French and European banks are very solid,” ECB policymaker and French central bank governor Francois Villeroy de Galhau, told BFM business radio.

Analysts says authorities appear eager to quickly deal with systemic risks, but worry the potential for a full-blown banking crisis is far from over.

Data on Thursday showed banks in the United States sought record amounts of emergency liquidity from the Fed in recent days, driving up the size of the central bank’s balance sheet after months of contraction.

The First Republic deal was put together by top power brokers including U.S. Treasury Secretary Janet Yellen, Federal Reserve Chairman Jerome Powell and JP Morgan Chase CEO Jamie Dimon, who had discussed the package this week, a source familiar with the situation said.

“They will keep the money in First Republic to keep it alive for self interest … to stop the run on banks. Then they will take it away gradually and the bank will play out a slow death,” Mathan Somasundaram, founder at research firm Deep Data Analytics in Sydney, said on Friday.

Credit Suisse's share price fell sharply after Saudi National Bank chairman Ammar al-Khudairy said that it would "absolutely not" up its stake.

The market value of Credit Suisse had already received a heavy blow this week amid fears of contagion from the fall of two major banks in the US and its annual report stating "material weaknesses" in internal controls.

The shares of the bank went for a freefall on the Swiss stock exchange, declining more than 30 per cent to hit a record low of 1.55 Swiss francs. By the end of the day's trading, the bank was able to regain some ground as its shares closed at 1.697 Swiss francs, declining by 24.24 per cent.

Amid the panic in the market, Credit Suisse chairman Axel Lehmann, speaking at the Financial Sector Conference in Saudi Arabia, said no assistance is needed by the government, saying it "isn't a topic".

"We have strong capital ratios, a strong balance sheet. We already took the medicine," said Lehmann, referring to the drastic restructuring plan of the bank revealed in October.

Credit Suisse Group AG Chairman Axel Lehmann has decided to take a pay cut of 1.5 million Swiss francs ($1.6 million) after the bank failed to meet its financial and non-financial targets—deemed to be one of its worst annual performances since the 2008 financial crisis.

According to the bank’s compensation report published on Tuesday, Lehmann will not receive the standard fee that’s usually received by the top board members.

Rather, the bank is planning to increase the portion of Lehmann’s compensation that is paid in shares to 50 per cent from 33 per cent.

Lehmann, who joined in January 2022, was to receive compensation of 3 million francs for the period from April 2022 to April 2023. Now, he plans to propose to take lower total pay of 3.8 million francs for the following pay period at the annual shareholder meeting, Bloomberg reported.

The pay revision of Lehmann largely falls in line with executive-board members who are not receiving a bonus for last year when the bank suffered record outflows of client funds and a slump in its share price amid concerns over its restructuring plans.

Credit Suisse, which is facing a flood of departures, is looking to motivate senior staff while not angering shareholders and regulators.

The bank said that it will make another substantial loss this year and is in the middle of a complicated restructuring that includes carving out its investment bank and selling off businesses that don’t connect with its key wealth unit. It is also planning to cut 9,000 jobs to reduce costs.

Meanwhile, Credit Suisse Group AG has identified “material weaknesses” in its reporting procedures for the financial years 2022 and 2021 and is&nbsp;looking to adopt a remediation plan.&nbsp;

For two years, “the group’s internal control over financial reporting was not effective,” Credit Suisse said in its annual report released on Tuesday. “Management has also accordingly concluded that our disclosure controls and procedures were not effective.”

The bank was forced to delay the release of its annual report from last week after US regulators raised last-minute queries. Credit Suisse didn’t specify whether those had been resolved.&nbsp;

Credit Suisse chairman takes $1.6mn pay cut; bank admits to 'weakness' in reporting procedures

It also intends to raise capital worth four billion Swiss francs ($4 billion) through issuing new shares to qualified investors, including Saudi National Bank. The latter has&nbsp;committed to investing up to 1.5 billion Swiss francs to gain a&nbsp;shareholding of up to 9.9 per cent.

The bank had earlier announced a third quarter net loss of 4.034 billion Swiss francs.

Credit Suisse shares slid on the announcements, opening down 7.26 per cent on the Swiss stock exchange's main SMI index at 4.417 Swiss francs.

Meanwhile, it&nbsp;is nearing a deal to sell its securitized-products group to investors Apollo Global Management&nbsp;and Pacific Investment Management Co,&nbsp;Reuters reported.

In 2013, a lawsuit was filed in New Jersey regarding Credit Suisse’s role in the crisis and the bank has now agreed to&nbsp;conclude the proceedings with a&nbsp;"one-time payment... to fully resolve claims".&nbsp;

According to AFP, the bank was accused of not having a proper measure of the risks that it took on mortgage-based securities and the $495 million will be paid as compensation for the involvement.&nbsp;
